Xinxiang Company Registration: Documents, Steps and Practical Timeline
A practical guide for foreign founders on registering a foreign-owned company in Xinxiang, Henan: required documents, the registration sequence, business scope drafting, registered address rules and the delays that most often slow the process.
Xinxiang is an industrial city in northern Henan, known for manufacturing, chemicals, textiles and batteries. For a foreign founder, setting up a company here follows the same national legal framework as anywhere in China — the Foreign Investment Law, the Company Law and the market entity registration rules — but the practical experience depends heavily on local processing and on how well your documents are prepared before submission.
This article walks through the documents you need, the order of steps, how to handle business scope and registered address, and where timelines commonly slip.
Which entity type should you choose?
Most foreign founders register a Wholly Foreign-Owned Enterprise (WFOE), usually structured as a limited liability company. Since the 2020 Foreign Investment Law took effect, the old term wàishāng dúzī qǐyè has been largely replaced by the unified wàishāng tóuzī qǐyè (foreign-invested enterprise), but the practical concept is unchanged: a Chinese legal person, wholly owned by foreign shareholders, with limited liability.
A joint venture with a Chinese partner is also possible but adds shareholder agreements and governance complexity. For most small and mid-sized foreign investors entering Xinxiang, a single-shareholder WFOE is simpler.
One early decision matters: whether your Xinxiang entity will be a subsidiary of an existing foreign parent or a branch of a foreign company. Branches cannot hold certain licenses and are less flexible; subsidiaries are the norm.
Core documents you will need
Expect to prepare and, where applicable, notarise and legalise the following:
- Passport copies of all foreign shareholders and the proposed legal representative, plus a recent passport-style photo of the legal representative.
- Proof of foreign shareholder identity: for a corporate shareholder, the certificate of incorporation, articles of association and a board resolution authorising the investment. These usually need notarisation and consular legalisation (or an apostille where applicable), plus a Chinese translation.
- Certificate of good standing for corporate shareholders, where requested.
- Lease agreement and property ownership certificate for the registered address, plus a landlord's consent to registration.
- Articles of association (公司章程) for the new company, drafted in Chinese, covering governance, capital, profit distribution and dissolution.
- Proposed company name — three to five Chinese alternatives, since name approval is one of the first bottlenecks.
- Capital contribution plan: registered capital amount, currency, and the schedule for contribution, which must be consistent with the articles and the foreign exchange registration.
- Legal representative appointment document and, if the legal representative is not a shareholder, a power of attorney.
- Business scope wording drafted in standard Chinese terminology.
Notarisation and legalisation requirements vary by document type and by the country of origin. Build time for this into your plan before you even approach the Xinxiang registration authority.
The registration sequence
The order below reflects how the process usually runs in practice. Some steps can overlap; others cannot.
1. Name pre-approval
Submit proposed Chinese names through the national enterprise registration system (or the Henan provincial portal). Names must not duplicate existing registrations or use restricted words. Approval is typically quick, but rejections are common on the first attempt.
2. Draft and align the articles and business scope
Have a Chinese lawyer or corporate service provider draft the articles and business scope. Business scope items now fall into two categories: general items, which can be registered without prior approval, and licensed items, which require a permit before or shortly after registration. Getting the wording right avoids later amendments.
3. Submit the establishment registration
File with the Xinxiang Administration for Market Regulation (or the district-level branch with jurisdiction over your address). The package includes the application form, articles, shareholder documents, address proof, legal representative appointment and the name approval notice. On approval you receive the business licence (营业执照).
4. Seal carving and bank account
After the licence, carve the company seals (official seal, financial seal, legal representative seal, contract seal) at a licensed seal-making shop, then open a basic deposit account at a bank. Foreign-invested companies also need a foreign exchange registration, usually handled through the bank when opening the capital account.
5. Tax and customs registration
Complete tax registration and choose your taxpayer status. If you will import equipment or export goods, register with customs and the foreign exchange authority as well. The legal representative or finance staff typically need to appear in person for tax onboarding in Henan.
6. Capital contribution
Inject registered capital within the period stated in the articles. Keep the bank receipts and the foreign exchange conversion records — they matter for later profit repatriation.
7. Post-establishment licences
If your business scope includes licensed activities, apply for the relevant permits from the competent bureau. These are separate applications with their own timelines.
Registered address: the detail that trips up many founders
Xinxiang requires a genuine, documentable address. You will need a lease agreement, the landlord's property ownership certificate, and confirmation that the property is zoned for commercial or industrial use. Residential addresses are generally not accepted for company registration.
Virtual or shared addresses exist through incubators and business parks, but their acceptability depends on the district and the business scope. A manufacturing or warehousing operation needs a real industrial site. Verify the address before signing a long lease, and confirm with the local registration window that the specific property can be used.
Business scope: write it deliberately
Business scope in China is not free text. Use the standard catalogue wording. Two practical points:
- List activities you actually intend to conduct, in the right order — the first item is often treated as the main business.
- Check whether an item is a pre-approval ( licence before registration) or post-approval licensed item. Adding a licensed item later means another filing and possibly another permit.
Manufacturing, trading, consulting and import/export are common combinations, but each carries different licensing implications.
Practical timeline
Assuming documents are complete, a straightforward WFOE registration in Xinxiang commonly takes four to eight weeks from name approval to business licence, with the following rough allocations:
- Name approval: a few working days, longer if resubmissions are needed.
- Document notarisation and legalisation abroad: two to four weeks, often the longest lead item.
- Establishment filing and licence: one to three weeks, depending on the district and file quality.
- Seals, bank account and foreign exchange: one to two weeks.
- Tax onboarding: a few days to two weeks.
- Post-establishment licences: varies widely by sector.
Common delays
- Legalisation and translation errors in shareholder documents — names, addresses and shareholding percentages must match exactly across all papers.
- Name rejections caused by duplicates or restricted terms.
- Address problems: missing ownership certificate, residential zoning, or a landlord unwilling to cooperate with registration formalities.
- Business scope wording that triggers an unexpected licensing requirement.
- Registered capital mismatches between the articles, the application and the bank's foreign exchange records.
- Legal representative availability for in-person bank and tax steps.
- District-level variation: processing speed and document expectations can differ between Xinxiang's districts and counties.
Working with local help
Engage a Chinese lawyer or a licensed corporate service provider early, ideally one with Henan experience. They can check name availability, draft compliant articles, pre-clear the address with the local window and coordinate with the bank. Budget for translation and notarisation costs separately from government fees.
